Anthropic plans a trust and founder-controlled board to shield its safety mission after IPO

Anthropic’s elaborate plan to keep Wall Street at bay

Anthropic plans to limit ordinary shareholders' influence over safety decisions after an IPO through a long-term benefit trust and founder control. The trust would pick 4 of 7 directors, and a Founder LLC would control 50.1 percent of shareholder votes, effectively letting founders choose the other 3 directors. Legal experts interviewed said funding needs and competitive pressure can still weaken safety commitments. The Founder LLC ends if most members leave or vote to dissolve, which could let ordinary shareholders weaken the trust's protections.

Why it matters: Anthropic wants a trust and founder-controlled board to protect its safety mission, but legal limits on shareholder power cannot shut out funding needs and competition.
